The official search
The registry is run by the Nebraska Secretary of State, Business Services Division. The search itself runs on Nebraska.gov, the state's official portal.
- Search page: https://www.nebraska.gov/sos/corp/corpsearch.cgi?nav=search
- Cost: Free
- Login: None required
- Requirements: JavaScript enabled, plus a reCAPTCHA for each search
The database covers everything in one place: business entities, trade names, trademarks, and service marks registered in Nebraska. Certificates of Good Standing and images of filed documents can be ordered from the same system for a fee.
Read the notice at the top of the search page before you rely on it. In the state's own words: "To check name availability, you must submit a written request to the Secretary of State's office by e-mail sos.corp@nebraska.gov, fax (402) 471-3666, or mail P.O. Box 94608, Lincoln, NE 68509-4608." Nebraska is also transitioning to a new search and filing system, anticipated live before the end of 2026 — check you are on the current system when you search.
A detail record shows the entity's status, account number and type, designated and principal office addresses, agent for service of process, and filing history. It does not show an ownership roster: Nebraska's Certificate of Organization does not list members or managers, so they are not in the public record.
Step by step
- Open the Corporate & Business Search, complete the reCAPTCHA, and choose Name Keyword Search — Match All Words. Enter your proposed name without "LLC."
- Run Name Starts With on a shortened version of the name, to catch companies that begin with your key word but end differently.
- Run Name Sounds Like. Nebraska's legal test bars names that are deceptively similar, and this mode is built for exactly that risk — names that would be confused with yours when spoken.
- Run Name Exact Match last, to confirm whether your precise name is already taken word for word.
- Check trade names, trademarks, and service marks too. They sit in the same database, and a registered trade name counts against your LLC name — a conflict does not have to be another LLC.
- For the official answer, email the Secretary of State. Send your proposed name to sos.corp@nebraska.gov (or fax or mail it) and ask for a name availability check. Even that answer is preliminary — the final decision comes when your Certificate of Organization is reviewed — but it is the only availability check the state offers.
Nebraska's name rules
The rules are in Neb. Rev. Stat. § 21-108 of the Nebraska Uniform Limited Liability Company Act.
Designator. The name must contain "limited liability company" or "limited company," or the abbreviation "L.L.C.," "LLC," "L.C.," or "LC." "Limited" may be abbreviated as "Ltd." and "company" as "Co."
Deceptively similar — a stricter test than most states. Unless the Secretary of State authorizes it under the consent rules below, your name must not be the same as or deceptively similar to, in the records of the Secretary of State:
- The name of any non-individual person — corporation, LLC, partnership, nonprofit, or other entity — organized or authorized to transact business in Nebraska
- Any name reserved under § 21-109 or registered under other Nebraska name laws, including fictitious or assumed name (trade name) statutes
Most states ask only that a name be "distinguishable." Nebraska's wording is a higher bar: a name can differ from every existing name and still be too close. That is why the Sounds Like search in step 3 matters here more than in other states.
Consent and court orders. The Secretary of State shall authorize a deceptively similar name if each conflicting name's current user consents in a signed record — or on a court judgment establishing your right to the name.
Reserving a name. Nebraska allows reservations under § 21-109: $30 for 120 days, transferable by signed notice. Optional — it holds the name while you prepare, but does not establish an LLC.
What the search can't tell you
- Whether your name is available. This bears repeating because it is the opposite of most states: the Nebraska search page itself directs availability questions to a written request. Never treat an empty search result as the state saying yes.
- A final verdict. Even the written availability check is a courtesy screening; the binding decision comes when your Certificate of Organization is reviewed.
- Federal trademarks and domains. The database includes Nebraska-registered trademarks and service marks, but it says nothing about federal USPTO registrations or .com availability.
- The cost of what comes after formation. The search will not warn you about Nebraska's newspaper publication requirement — see the next section; it adds real cost and a second filing.
If the name looks available
File a Certificate of Organization with the Business Services Division, online through eDelivery or in office. The certificate asks only for your LLC's name, its designated office addresses, and its agent for service of process.
- Cost: $100 online, or $110 in office.
Then publish — Nebraska's extra step. Under § 21-193, you must publish a notice of organization for three successive weeks in a legal newspaper near your designated office, then file proof of publication with the Secretary of State ($25 online or $30 in office to file the proof), plus the newspaper's own charge. Budget for both; skipping publication is a common Nebraska compliance mistake.
Ongoing: the biennial report — every two years, not every year.
- Fee: $25 if filed electronically, $30 in writing — for the two-year period.
- Due date: file between January 1 and April 1 of each odd-numbered year (2027, 2029, and so on). Your first report is due in the odd-numbered year right after the year you form — form in 2026 and your first report is due by April 1, 2027, only months later, not two years later.
- Late consequences: Nebraska charges no monetary late fee. Instead, an unfiled report becomes delinquent on June 16, and if still unfiled by then your LLC is administratively dissolved (or a foreign LLC's authority revoked). Reinstatement costs $30; a late reinstatement application costs $500 — do not let a dissolved LLC sit.
FAQ
Is the Nebraska LLC name search free? Yes. The Corporate & Business Search is free and needs no login, though each search requires completing a reCAPTCHA.
Why can't the Nebraska search tell me if my name is available? Because the state reserves availability checks for written requests: email sos.corp@nebraska.gov, fax (402) 471-3666, or mail the Business Services Division.
How much does it cost to form a Nebraska LLC? The Certificate of Organization costs $100 online or $110 in office. After formation you must also publish a notice of organization for three weeks and file proof of publication ($25 online or $30 in office), plus the newspaper's charge.
When is the Nebraska LLC biennial report due? Between January 1 and April 1 of every odd-numbered year. It costs $25 electronically or $30 in writing. There is no late fee, but a report still unfiled on June 16 leads to administrative dissolution.
Can I reserve an LLC name in Nebraska? Yes. Under Neb. Rev. Stat. § 21-109 you can reserve a name for 120 days for a $30 fee.
