The official search
The registry is run by the Rhode Island Department of State, Business Services Division. (The office now brands itself the Department of State; the Secretary of State heads it, and the site is still sos.ri.gov.)

The Corporate Database covers corporations, LLCs, limited partnerships, LLPs, and other entities registered with the Department. Sole-proprietor and partnership trade names are kept in a separate Trade Name Database, so this search alone is not the whole name picture.
There is no separate "name availability" tool that gives a binding yes or no. You judge availability from the results — the Department publishes Name Availability Guidelines to help — and the Department makes the final decision when your filing is reviewed.
An entity record (the Entity Summary) shows the legal name, entity type, status, date of organization, principal address, resident agent, and, for an LLC, whether it is member- or manager-managed. Its filings list links to the actual filed documents. One thing the record will never show is the owners: the Department notes that ownership information is not recorded with any state agency.
Step by step
- Open the Corporate Database and choose the Entity Name search. You must enter at least the first two letters of the name.
- Start with "Begins With" (the default), entering your name without "LLC." Work through every result that starts the same way.
- Run an Exact Match search on your full proposed name to confirm whether the identical name is already taken.
- Run a Soundex search. Soundex finds names that sound like yours even when they are spelled differently — in a state with guidelines this strict, sound-alikes matter.
- Try a Full Text search on your most distinctive word, to catch conflicts where the word appears in the middle of an existing name.
- Check the Trade Name Database too if a sole proprietor or partnership could be using a similar trading name, and remember the Active database is the default — other search types in this system pull from both active and inactive records.
- If nothing conflicting appears, the name is probably available — but only the Department's review of your filing is definitive.
Rhode Island's name rules
The rules are in R.I. Gen. Laws § 7-16-9 of the Rhode Island Limited Liability Company Act, plus the Department of State's Name Availability Guidelines.
Designator. The name must end with "limited-liability company" or "l.l.c." (upper or lower case, with or without punctuation). A low-profit LLC must instead end with "low-profit, limited-liability company" or "L3C."
Distinguishable. The name must be distinguishable upon the records of the Secretary of State from any corporation, non-business corporation or other association, limited partnership, or domestic or foreign LLC organized, registered, or qualified in Rhode Island, and from any name filed, reserved, or registered under Title 7.
Differences that do not count. The statute itself says the entity designator is disregarded when deciding distinguishability — "LLC" instead of "Inc." never separates two names. The Department's guidelines go further, with published examples. If "Acme Enterprises, Inc." is on record, these are all treated as unavailable:
- Acme Enterprises Corporation
- Acme's Enterprises, LLC (a possessive changes nothing)
- Acme Enterprises! (punctuation changes nothing)
- Acm3 Enterprise (swapping a digit for a letter changes nothing)
- The Acme Enterprise (dropping/adding "The" and the plural changes nothing)
Words restricted by other Rhode Island laws — banking and trust wording, for example — can be used only with the relevant regulator's approval. When in doubt, read the Department's Name Availability Guidelines before you file, not after a rejection.
Reserving a name. Rhode Island allows a name reservation under § 7-16-10, filed online, which holds the name for 120 days. The Department's fee schedule lists the reservation at $50. A reservation is optional — it does not establish an LLC, and it does not protect the name outside Rhode Island.
What the search can't tell you
- A final verdict. The database does not rule on availability. The Department decides when it reviews your Articles.
- Trade names in the other database. Sole-proprietor and partnership trade names live in the separate Trade Name Database, not the Corporate Database.
- Trademarks and domains. The search says nothing about federal trademark rights, Rhode Island state trademarks (a separate Department database), or .com availability.
- Who owns a company. Ownership is not recorded with any Rhode Island state agency, so no search of these records will produce an owner list for an LLC.
If the name looks available
File Articles of Organization (Form 400) with the Business Services Division, online through the RI Business Portal at business.sos.ri.gov, or by mail or in person.
- Cost: $150. Filing online adds a $6 enhanced access fee, for a $156 total, per the Department's fee schedule.
- Processing: the Department says filings are processed within about two business days of receipt.
Ongoing: the annual report (Form 632) — and the charge most people miss.
- Fee: $50 per year (an online filing adds a $2.50 enhanced access fee).
- Due date: the report can only be filed between February 1 and May 1, and your first one is due in the calendar year after formation. Every Rhode Island LLC uses this same spring window.
- Late penalty: $25, applied June 1 if the report was not filed by May 31. Continued failure can lead to revocation.
- The $400 annual charge: separate from the report, every Rhode Island LLC owes an annual charge equal to the $400 corporate minimum tax, paid to the Division of Taxation (under § 7-16-67, with your RI-1065 or RI-1120-series return depending on how the LLC is taxed). It is not prorated, it applies to your formation year, and it is owed even if the LLC did nothing and earned nothing. Budget about $450 a year in recurring state costs, not $50.
FAQ
Is the Rhode Island LLC name search free? Yes. The Corporate Database search is free and requires no login.
What is Soundex search, and should I use it? Soundex returns names that sound like the name you enter, even if they are spelled differently. Yes — Rhode Island's distinguishability guidelines are strict, so sound-alike conflicts are exactly what you need to catch.
How much does it cost to form a Rhode Island LLC? The Articles of Organization (Form 400) filing fee is $150, or $156 filed online including the $6 enhanced access fee.
When is the Rhode Island LLC annual report due? Between February 1 and May 1 each year, starting the year after formation. The fee is $50, with a $25 late penalty applied June 1.
What is the $400 charge I keep hearing about? It is an annual charge equal to the corporate minimum tax, owed by every Rhode Island LLC to the Division of Taxation on top of the $50 annual report. It is not prorated and applies even in a year with no business activity.
